The short version
- Bought once and yours for ever: Home on up to 3 PCs, Pro on up to 5. Free is free, on 1 PC.
- Free and Home are for personal, non-commercial use. A business needs Pro or Server.
- A year of updates is included. Every version released in that year is yours to keep.
- The 15-day trial needs no card. When it ends, backups pause until you choose; nothing is deleted.
- Restore is never locked, in any edition, whatever happens to a licence.
- Ask Genie is an online service with a monthly allowance, which Genie9 may change or stop. Backing up and restoring never need an account.
- A full refund within 14 days of buying a licence from Genie9. Renewals are not refunded.

1.This agreement
This End User Licence Agreement (the “agreement”) is between you and Genie9 Ltd, 20-22 Wenlock Road, London, N1 7GU, United Kingdom, company number 07787114 (“Genie9”, “we”). It covers Genie Backup Manager AI, also called GBM AI, in every edition, with its background agent, its tray app and every update we give you (the “software”).
By installing or using the software you accept this agreement. If you do not accept it, do not install or use the software; if you bought a licence from Genie9 and do not accept it, you can have your money back within 14 days of buying (section 12).
“You” means the person who accepts this agreement or, if they accept it for a business or other organisation, that organisation; they confirm that they may accept it for it. A “consumer” is an individual using the software wholly or mainly outside their trade, business, craft or profession.
The software is licensed to you, not sold. Genie9 and its licensors keep all rights in it that this agreement does not expressly give you.
2.Editions, PCs and who may use them
Each edition lets you install and use the software on a number of computers (“PCs”) at the same time:

Personal, non-commercial use means use by you and the people you live with, for your own files. It does not include use by or for a business, company, charity, school, public body or any other organisation, or for work you are paid for. Any of those needs a Pro or Server licence.
The features of each edition are the ones shown on the editions page when you bought it, or in the app’s Editions screen. Genie9 may change the Free edition’s features and limits in later versions. A PC uses a seat when the licence is activated on it. You can free a seat at any time, from the app’s Account screen or from your account on genie9.com, and use it on another PC. Reinstalling on the same PC uses the same seat.
3.A licence that does not expire
A Home, Pro or Server licence is perpetual: it does not expire, and unless it is cancelled under section 13 the software keeps working with it for as long as you use it, online or offline. You do not need an account or a sign-in to back up or restore.
When it is online, the software confirms the licence with Genie9 about once a week. If it cannot do so for 45 days, it says so, and the paid features stay on for 14 more days. After that, new work follows the Free edition until the licence can be confirmed; the jobs you already set up keep running as they are.
4.Updates and support
Each licence you buy includes one year of updates and email support (two years if you chose that option when you bought it), starting on the day you buy it, or for a key from a reseller that says so, on the day you first activate it (the “updates window”). Every version of the software that Genie9 releases during your updates window is yours to keep and use for ever. Genie9 decides what each version contains and when it is released.
When the updates window ends, nothing stops. The software keeps working, your backups keep running and restoring, and you keep every version released during the window. Versions released after it, and email support, need a renewal. A renewal is optional; the app and the checkout show its price before you pay. A renewal bought before the window ends extends it from its end date; one bought after runs from the day you buy it.
Support is help by email with installing and using the software. It does not include recovering lost data, or work on your PCs, network or other software. The Free edition is offered new versions at no charge for as long as Genie9 publishes them for Free, and its help is the help centre. Server support is as set out in your order.
5.The 15-day trial
The Home-trial and Pro-trial setups start a 15-day trial of that edition on first run, with no account, card or key. There is one trial per PC; reinstalling does not start another. The Free setup starts no trial, and a Free install cannot start one later. A trial is for trying the software before you buy it.
When the trial ends, scheduled and manual backups pause until you choose: buy an edition, or continue on Free with up to 2 jobs of your choice. Nothing is deleted while backups are paused, and you can restore at any time.
6.Restore is never locked
Whatever your edition or its state — Free, a trial that has ended, an updates window that has ended, or a licence that was cancelled — the software lets you restore anything from the backups it can read, including encrypted backups (with their password) and backups made on another PC or by another edition.
7.Ask Genie and other online services
Ask Genie is an online service, not part of the software you keep. It needs a free sign-in and an internet connection. Genie9 runs it on its servers with a model from OpenAI; the privacy notice says exactly what is sent.
Each edition currently includes a number of prompts a calendar month: Free 10, Home 40, Pro 100, Server 300; a trial has the allowance of its edition. A licence has its edition’s allowance while its updates window is open, and the Free allowance after that. Unused prompts do not carry over.
Genie writes drafts. It cannot run, change or delete anything: you read each draft, and a dry run, before you save it. Its suggestions can be wrong, and you remain responsible for the jobs you save and for what they back up.
Genie9 may change how Ask Genie works, its model, its features and the monthly allowances, and may limit, suspend or stop it, for one account or for everyone. A new allowance applies from the next calendar month, and the app always shows the current one. Genie9 may also limit or suspend Ask Genie at once for an account or a PC that uses it by automated means, abusively or unlawfully, to get around its allowance, or in a way that puts the service or other people at risk.
Ask Genie comes with every edition at no extra charge: the price of a licence is for the software. If Ask Genie is changed, limited, suspended or stopped, the rest of the software keeps working as described here and, as far as the law allows, no refund or compensation is due.
The other online services — sign-in, licence checks, update checks, and the alert e-mails Genie9 sends for a signed-in, purchased Home or Pro licence — are provided while Genie9 offers them, and Genie9 may change them and their limits. Genie9 does not promise that any online service will always be available or free of errors. None of them is needed to back up or restore.
8.Your data
Your backups go only to the destinations you choose, such as a disk, a USB drive, a network share or your own S3 bucket. Genie9 never receives them. The software sends no usage statistics, crash reports or analytics. What it does send, for the online services above, is set out in the privacy notice.
Encryption passwords stay on your PC. Nobody can recover a lost one, including Genie9: a backup encrypted with a password you have lost cannot be restored.
You are responsible for choosing what to back up and where, for keeping your destinations, passwords and keys safe, and for having the right to copy the data you back up.
9.What you may not do
You may not, and may not let anyone else:
- use the Free or Home edition other than for personal, non-commercial use (section 2);
- use the software on more PCs than your licence allows, or share a licence key beyond its seats;
- work around the licence check, the trial, the Free edition’s limits or the Ask Genie allowance;
- use Ask Genie by automated means, or to build or train another product or service;
- rent, lend, sell or sublicense the software or a licence, except by moving a licence you own to another PC as section 2 allows;
- copy, change, decompile or reverse engineer the software, except as far as the law allows despite this restriction;
- remove Genie9’s names, marks or notices;
- use the software unlawfully, or in breach of export control or sanctions laws.
10.Components from others
The software includes open-source and other third-party components. They are listed, with their licences, in third-party-licenses.txt installed with the software and under Settings ▸ About. Their own licences apply to them, and nothing in this agreement limits the rights those licences give you.
11.Buying
Genie9 sells licences, the two-year option and renewals at genie9.com, with payment through Stripe. Prices are in US dollars. Where tax such as VAT or sales tax applies, it is worked out from your address and shown at checkout; the total shown there is what you pay. Your bank may charge a fee for paying in another currency.
The contract is made when Genie9 sends you the licence key, or the renewal confirmation, by email. Until then Genie9 may decline an order, for example when a price was shown in error or the order looks fraudulent, and refunds anything taken.
At checkout you ask for the licence key to be supplied straight away. If you are a consumer, the law gives you 14 days to cancel a purchase of digital content, but that right ends once it is supplied at your request. Genie9’s own refund (section 12) takes its place.
A key bought from a reseller is sold on the reseller’s terms; this agreement still governs how you use the software.
12.Refunds
If you bought a licence from Genie9, you can have a full refund of that purchase, including the two-year option if you bought it with the licence, for any reason, if you ask within 14 days of buying. Renewals are not refunded, nor is a key bought from a reseller, except where the law requires. A refunded licence is cancelled (section 13). How to ask, and the conditions, are in the refund policy. None of this affects your legal rights if the software is faulty or not as described.
13.When a licence is cancelled
Genie9 may cancel a licence that is refunded or charged back, that was not paid for, that was obtained by fraud or from someone not entitled to sell it, or that is used in breach of this agreement, for example on more PCs than it allows. Where a breach can be put right, Genie9 cancels only if it is not put right within 14 days of Genie9 asking. As far as the law allows, no refund is due for a licence cancelled for fraud or breach.
A cancelled licence stops activating and confirming. On a PC that had it, the jobs already set up keep running, new work follows the Free edition, and restore always works.
You can stop using the software at any time by uninstalling it. Uninstalling never deletes your backups. Sections 6, 8, 10 and 14 to 19 continue to apply after a licence ends.
14.Our promise, and its limits
Genie9 builds the software to back up and restore reliably, and by default every run to a disk, USB drive or network share is read back and checked. No backup software can promise that a backup will never fail: keep more than one copy of what matters, and restore a file now and then to see that it works.
If you are a consumer, you have legal rights, for example to software that is as described, fit for purpose and of satisfactory quality, and to a repair, a replacement or some or all of your money back if it is not. Nothing in this agreement takes them away. Beyond those rights, and as far as the law allows, the software and the online services are provided as they are, without any other promise, condition or warranty, and Genie9 does not promise that they will be free of errors or work without interruption.
15.Liability
As far as the law allows, Genie9 is not liable for:
- loss or corruption of data, or the cost of recovering or re-creating it;
- loss of profits, revenue, business, contracts, savings or goodwill;
- anything caused by destinations, networks, storage or services that others run, such as your NAS, your S3 provider or your mail server;
- any indirect or consequential loss.
As far as the law allows, Genie9’s total liability to you for everything arising from the software, the online services and this agreement is limited to the amount you paid Genie9 for the licence the claim concerns, not counting tax, or US$5 if you paid nothing.
Nothing in this agreement limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else the law does not allow to be limited or excluded, and nothing in it affects your legal rights as a consumer.
16.If you use it for a business
This section applies if you are not a consumer, for example when you accept this agreement for a business or other organisation.
- The promises in this agreement are the only ones Genie9 makes. Every term implied by law, for example about satisfactory quality or fitness for a purpose, is excluded as far as the law allows.
- You will make good to Genie9 any loss, cost or claim by someone else that arises from your breach of this agreement or from data you back up without the right to.
- This agreement, with your order, is the whole agreement between you and Genie9 about the software, and you have not relied on any statement that is not in it. This does not limit liability for fraud.
- A claim against Genie9 must be brought within one year of the day you knew, or should have known, of it.
17.Changes to this agreement
If Genie9 changes this agreement, the new text is published on this page with a new date. It applies to versions released after it and, for the online services, from the day it is published. It never takes away a licence you already own, its seats, its updates window or the rule that restore is never locked.
18.General
- Genie9 may transfer its rights and duties under this agreement to another company, for example if its business is sold; your rights are not reduced.
- Genie9 is not responsible for delays or failures caused by events outside its reasonable control, such as failures of networks, hosting or suppliers.
- If a court decides that part of this agreement cannot be enforced, the rest still applies. If Genie9 does not enforce a right straight away, it can still do so later.
- Nobody other than you and Genie9 has a right to enforce this agreement.
- This agreement is written in English. If it is translated, the English text applies.
19.Law and contact
This agreement, and any dispute about it or the software, is governed by the law of England and Wales, and only the courts of England and Wales can decide such a dispute. If you are a consumer living elsewhere in the United Kingdom or in the European Union, you also keep the protection of the mandatory law of the country you live in, and you may bring a claim in its courts.
