This End User License Agreement (“Agreement” or “EULA”) is a legal agreement between you (either an individual or a single entity) and Genie9 LTD, a company registered in England and Wales with company registration number 08669198 and VAT number GB233163438 (“Genie9”, “we”, “us”, or “our”), for the Nygma.ai software application, associated media, printed materials, and online or electronic documentation (collectively, the “Service”).
PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SERVICE. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT USE THE SERVICE.
1. DEFINITIONS
1.1 “Account” means the account created by you to access and use the Service.
1.2 “Content” means any data, information, files, or materials that you upload, store, share, or otherwise provide through the Service.
1.3 “Duress Mode” refers to the security feature that allows users to establish an alternative password which, when used, provides access to decoy content rather than the user’s actual content.
1.4 “Encrypted Drive” means a secure, encrypted storage space within the Service where your Content is stored.
1.5 “Recovery Key” means the unique cryptographic key generated during Encrypted Drive creation that can be used to recover access to your Encrypted Drive if you forget your password.
1.6 “Time Bomb” refers to the security feature that automatically locks or wipes data after a specified period of inactivity.
1.7 “Zero-Knowledge Encryption” means the encryption architecture where encryption and decryption occur solely on your device, and Genie9 does not possess the capability to access or view your unencrypted Content or encryption keys.
2. GRANT OF LICENSE
2.1 Subject to the terms of this Agreement, Genie9 grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.
2.2 Free and Paid Plans. The Service is offered in various plans with different storage capacities and features:
- Free Plan: 2 GB storage with basic features
- Paid Plans: 100 GB, 500 GB, 2 TB, and 5 TB with additional features
- Payment for paid plans is processed through Stripe
3. ZERO-KNOWLEDGE ENCRYPTION
3.1 Client-Side Encryption. The Service implements zero-knowledge encryption. All encryption and decryption processes occur locally on your device. Your data is encrypted before it leaves your device, and Genie9 does not possess the technical capability to access your unencrypted Content.
3.2 Key Management. All encryption keys are generated and managed on your device. Genie9 does not receive, store, or have access to your encryption keys, passwords, or Recovery Keys.
3.3 Technical Limitation Acknowledgment. You expressly acknowledge that as a consequence of the zero-knowledge encryption architecture:
- Genie9 cannot reset your password or recover your encrypted data if you lose your password and Recovery Key
- Genie9 cannot view, access, scan, or monitor your encrypted Content
- Genie9 cannot provide your unencrypted Content to any third party, including law enforcement, even when presented with a valid legal order
- The responsibility for safeguarding your password and Recovery Key rests solely with you
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Account Creation. To use the Service, you must create an Account by providing required information and maintaining its accuracy.
4.2 Minimum Age. You must be at least 16 years old to use the Service. By creating an Account, you represent and warrant that you are at least 16 years old.
4.3 Account Security. You are responsible for maintaining the confidentiality of your Account credentials. You agree to notify Genie9 immediately of any unauthorized use of your Account.
4.4 Recovery Key. Upon creation of an Encrypted Drive, you will be provided with a Recovery Key. You are solely responsible for storing this Recovery Key securely. Genie9 does not store your Recovery Key and cannot recover it if lost.
5. CONTENT RESPONSIBILITY AND ACCEPTABLE USE
5.1 Your Content. You retain all rights to your Content. You are solely responsible for your Content and all activities related to your Content.
5.2 Prohibited Activities. You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Store, send, or transmit any Content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
- Store or transmit malware, viruses, or any other malicious code
- Attempt to gain unauthorized access to the Service or related systems
- Engage in any activity that interferes with or disrupts the Service
- Use the Service for any illegal purpose or to facilitate illegal activities
5.3 Compliance with Laws. You agree to comply with all applicable laws regarding your use of the Service, including data protection and privacy laws.
5.4 Geographic Restrictions. The Service is not available in countries subject to U.S. or U.K. export restrictions or sanctions (including but not limited to Iran, North Korea, Syria, Cuba, and the Crimea, Donetsk, and Luhansk regions).
6. SPECIAL SECURITY FEATURES
6.1 Duress Mode. The Service includes a Duress Mode feature which:
- Allows you to create an alternative password that, when entered, displays decoy content
- Is designed to provide plausible deniability in coercion scenarios
- Functions technically as an alternative authentication path to a separate content area
6.2 Time Bomb. The Service includes a Time Bomb feature which:
- Automatically locks or wipes data after a specified period of inactivity
- Is configurable by you to set the inactivity period and actions taken
- Operates entirely client-side based on your configurations
6.3 Liability Limitation for Special Features. You acknowledge that:
- These features are provided as-is without any guarantee of effectiveness in all scenarios
- Genie9 is not liable for any consequences arising from the use or failure of these features
- You are solely responsible for configuring these features appropriately for your needs
- Legal requirements in some jurisdictions may limit the effectiveness of these features
7. PRIVACY AND DATA PROTECTION
7.1 Privacy Policy. Your use of the Service is subject to our Privacy Policy, which is incorporated by reference into this Agreement.
7.2 Data Storage. Your encrypted Content is stored on servers located in the United States, operated by Amazon Web Services.
7.3 Data Collection Limitation. Due to the zero-knowledge encryption architecture, Genie9 cannot access your encrypted Content or metadata. Genie9 only collects and processes:
- Account information necessary for providing the Service
- Payment information for processing subscriptions
- Usage metrics and analytics that do not include Content or encrypted metadata
- IP addresses and access logs for security purposes
7.4 Law Enforcement Requests. If Genie9 receives a valid legal request for user data:
- We can only provide the limited unencrypted data we possess
- We cannot provide decrypted Content, filenames, or metadata
- We will comply with valid legal orders to the extent technically possible
- We will notify users of requests when legally permitted to do so
8. SUBSCRIPTION, PAYMENT, AND REFUNDS
8.1 Subscription Plans. The Service offers both free and paid subscription plans with different storage limits and features.
8.2 Free Plan. The free plan provides 2 GB of storage with limited features and is provided at no cost.
8.3 Paid Plans. Paid plans provide increased storage capacity and additional features. Prices for paid plans are displayed on our website and may be updated from time to time.
8.4 Billing. For paid plans:
- Subscriptions can be purchased on a monthly or annual basis
- Payment is processed through Stripe
- You authorize Genie9 to charge your payment method for the subscription fee
- Annual subscriptions may be offered at a discount compared to monthly billing
8.5 Automatic Renewal. Your subscription will automatically renew at the end of each billing period unless you cancel it before the renewal date.
8.6 Refunds. You may request a refund within 15 days of initial subscription purchase. After this period, refunds are provided at Genie9’s discretion. No refunds are provided for partial subscription periods.
8.7 Cancellation. You may cancel your subscription at any time through your Account settings. Upon cancellation:
- You will continue to have access to paid features until the end of your current billing period
- No refunds will be provided for the unused portion of your current billing period
- If you have a free plan, you will retain access to your data up to the free storage limit
9. TERMINATION
9.1 Termination by You. You may terminate this Agreement by:
- Cancelling your subscription through your Account settings
- Deleting your Account, which will permanently delete all your Content immediately
9.2 Termination by Genie9. Genie9 may terminate or suspend your Account and access to the Service immediately, without prior notice or liability, for any reason, including if:
- You breach any terms of this Agreement
- You use the Service in a manner that could cause legal liability to Genie9
- You engage in fraudulent or illegal activities
- Your use of the Service poses a security risk
9.3 Effect of Termination. Upon termination:
- Your right to use the Service will immediately cease
- All Content in your Account will be immediately and permanently deleted
- Due to the zero-knowledge encryption architecture, Content deletion is irreversible
- No recovery options will be available after Account deletion
10. INTELLECTUAL PROPERTY RIGHTS
10.1 Ownership. The Service and its content, features, and functionality are owned by Genie9 and are protected by intellectual property laws. The name “Nygma.ai,” associated logos, and product names are trademarks of Genie9.
10.2 License to Use. This Agreement does not transfer ownership of the Service to you but allows you to use the Service according to the terms of this Agreement.
10.3 Feedback. If you provide feedback on the Service, you grant Genie9 a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, publish, distribute, and otherwise exploit the feedback for any purpose.
11. DISCLAIMER OF WARRANTIES
11.1 Service Provided “As Is”. THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
11.2 Security Feature Disclaimer. GENIE9 DOES NOT WARRANT THAT THE DURESS MODE, TIME BOMB, OR OTHER SECURITY FEATURES WILL FUNCTION AS INTENDED IN ALL SCENARIOS OR PROVIDE COMPLETE PROTECTION IN ALL CIRCUMSTANCES.
11.3 Data Security. WHILE GENIE9 IMPLEMENTS REASONABLE SECURITY MEASURES, GENIE9 DOES NOT GUARANTEE THAT THE SERVICE WILL BE FREE FROM SECURITY VULNERABILITIES OR THAT YOUR CONTENT WILL BE ABSOLUTELY SECURE.
11.4 Zero-Knowledge Limitation. GENIE9 EXPRESSLY DISCLAIMS ANY RESPONSIBILITY FOR CONTENT RECOVERY IF YOU LOSE YOUR PASSWORD AND RECOVERY KEY DUE TO THE TECHNICAL IMPOSSIBILITY OF ACCESSING ENCRYPTED CONTENT WITHOUT THESE CREDENTIALS.
12. LIMITATION OF LIABILITY
12.1 Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GENIE9 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOSS OF DATA, LOSS OF USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT GENIE9 HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
12.2 Maximum Liability. IN NO EVENT SHALL GENIE9’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THIS AGREEMENT EXCEED THE AMOUNT YOU HAVE PAID TO GENIE9 FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR FIFTY POUNDS STERLING (£50), WHICHEVER IS GREATER.
12.3 Data Loss. GENIE9 SHALL NOT BE LIABLE FOR ANY DATA LOSS DUE TO:
- YOUR FAILURE TO MAINTAIN YOUR PASSWORD OR RECOVERY KEY
- AUTOMATIC DATA WIPING THROUGH THE TIME BOMB FEATURE
- YOUR USE OF DURESS MODE
12.4 Essential Purpose. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN GENIE9 AND YOU.
13. INDEMNIFICATION
13.1 Your Indemnification. You agree to defend, indemnify, and hold harmless Genie9, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of the Service, your violation of this Agreement, or your violation of any third-party right.
14. GOVERNING LAW AND DISPUTE RESOLUTION
14.1 Governing Law. This Agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles.
14.2 Dispute Resolution. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14.3 Class Action Waiver. YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS, AND THAT YOU WILL NOT SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY PROCEEDING IN WHICH YOU ACT OR PROPOSE TO ACT IN A REPRESENTATIVE CAPACITY.
14.4 Time Limitation. ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SERVICE MUST COMMENCE WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
15. MISCELLANEOUS
15.1 Entire Agreement. This Agreement, together with the Privacy Policy and any additional terms incorporated by reference, constitutes the entire agreement between you and Genie9 regarding the Service.
15.2 Severability. If any provision of this Agreement is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect.
15.3 No Waiver. No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Genie9’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
15.4 Assignment. You may not assign this Agreement without Genie9’s prior written consent. Genie9 may assign this Agreement without restriction.
15.5 Modifications. Genie9 reserves the right to modify this Agreement at any time. We will notify you of material changes through the Service or via email. Your continued use of the Service after such notification constitutes acceptance of the modified Agreement.

16. ACKNOWLEDGMENT
BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
YOU FURTHER ACKNOWLEDGE THE ZERO-KNOWLEDGE NATURE OF THE SERVICE AND UNDERSTAND THAT GENIE9 CANNOT ACCESS YOUR ENCRYPTED CONTENT OR ASSIST WITH CONTENT RECOVERY IF YOU LOSE YOUR PASSWORD AND RECOVERY KEY.
